Stern’s Pennsylvania Nonprofit Corporation Law (3rd edition) – E-book plus print

With detailed commentaries, cross references, and citations, this annotated statute is an essential resource for legal professionals serving Pennsylvania nonprofit corporations. Because of its in-depth analysis, it’s an especially helpful tool for professionals who are in private practice or serving as in-house counsel, but also for courts and regulatory agencies with jurisdiction over the nonprofit sector, and for those who are teaching and studying nonprofit law.

The annotations in this treatise were originally written by Robert J. Stern, Esq., who has been representing nonprofit organizations since 1964, including the Archdiocese of Philadelphia while working at Stradley Ronon Stevens & Young LLP for 19 years. He created this resource in 2011 so that he could more efficiently advise his nonprofit clients and explained that there was no single resource available that compiled Pennsylvania’s relevant legal authority for nonprofit corporations in one place. Once he created it and began using this tool, he says he wishes he had this resource all along. This third edition of his work is revised and newly annotated by Cheshire Law Group, a law firm focused exclusively on representing the legal needs of nonprofit organizations.

As this third edition was being prepared and produced, proposed amendments to Title 15 were pending. The statutory language of Title 15 published in this third edition reflects the version of the statute that was in effect before January 3, 2023. For an executive summary of the latest amendments made to Title 15, see Summary of the 2022 Amendments to Pennsylvania’s Nonprofit Corporation Law.
